1. Agreement

By accessing or using Emily AI (“Emily,” the “Service”), you agree to these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

If you are under 18, you represent that your parent or legal guardian has reviewed and accepted these Terms on your behalf.

Do not publish until reviewed by qualified legal counsel.


2. What Emily is

Emily is an AI academic tutor and campus assistant. Emily is designed to:

  • Explain concepts, give hints, and support studying
  • Help with organization (reminders, calendar, notes) when you connect optional apps
  • Enforce academic and safety boundaries (no homework completion for submission, no companion/romantic/explicit roleplay)

Emily is not a substitute for instructors, mental health professionals, emergency services, or legal/financial advice.


3. Eligibility

You must be at least 18 years old, or using the Service with parent/guardian consent as described above.

During early pilot phases, access was restricted to allowlisted Telegram accounts. The bot is now open — anyone can start a chat with @Emcbearbot, subject to Terms acceptance and safety guardrails.


4. Your account and Telegram

You access Emily through Telegram. You are responsible for:

  • Securing your Telegram account
  • Activity under your account
  • Compliance with Telegram’s terms

We identify you by your Telegram user ID (telegram:…).


5. Acceptable use

You agree not to:

  • Submit work for grading as if it were entirely your own when your institution prohibits AI assistance
  • Use Emily for cheating, plagiarism, or academic dishonesty
  • Attempt to bypass safety guardrails or jailbreak personas
  • Use Emily for harassment, illegal activity, sexual content involving minors, or violence
  • Reverse engineer, scrape, or overload the Service
  • Upload malware or others’ private data without permission

Emily may refuse, block, or log violations of these rules.


6. AI limitations

Emily uses large language models and other AI systems. Outputs may be incorrect, incomplete, or outdated. You are responsible for verifying important information (grades, deadlines, medical/safety decisions) with authoritative sources.

Emily’s proofreading feature provides scores and suggestions, not a submission-ready rewrite.


7. Optional integrations

When you connect Google, Notion, Uber, Spotify, or similar services:

  • You authorize Emily to access data within the scopes shown at connect time
  • You can disconnect at any time
  • Third-party terms apply to those services

8. Your content and data

You retain ownership of content you submit. You grant Emily a limited license to process your content solely to provide the Service, including sending anonymized excerpts to AI providers as described in the Privacy Policy.

You control your data through in-product tools:

  • Export — /exportdata, export to Google Drive
  • Delete — /forget everything and scoped forget
  • Privacy mode — limit new memory writes

Some copies (e.g. files already in your Google Drive, disaster-recovery backups, short-term safety logs) may persist as described in the Privacy Policy.


9. Privacy

Our Privacy Policy explains collection, use, and sharing. By using Emily, you acknowledge that policy.


10. Safety and emergencies

If you are in crisis, contact local emergency services or a crisis line (e.g. 988 in North America). Emily’s /emergency command provides resources but is not a live crisis counselor.

We may escalate to a pre-configured trusted contact only for defined safety or spend-alert scenarios configured by the account operator.


11. Intellectual property

Emily’s software, branding, and documentation are owned by Emily AI or its licensors. These Terms do not grant you ownership of the Service.

Feedback you provide may be used to improve the Service without obligation to you.


12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMILY AI DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, error-free, or secure operation.


13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMILY AI AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR ACADEMIC OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE.

Our aggregate liability for direct damages shall not exceed the amount you paid us for the Service in the twelve months before the claim (or CAD $100 if the Service is free).

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.


14. Indemnity

You agree to indemnify Emily AI against claims arising from your misuse of the Service, violation of these Terms, or infringement of others’ rights.


15. Suspension and termination

We may suspend or terminate access for violation of these Terms, safety concerns, or operational reasons. You may stop using Emily at any time and delete your data via in-app tools.


16. Changes

We may modify these Terms. We will post updates at [https://emily-ai.net/terms] and may require re-acceptance in the app for material changes.

Continued use after non-material changes constitutes acceptance.


17. Governing law
